A service proposal for founders building what comes next.
Four disciplines, two packages, three ways to align our incentives with your growth — from first structure to the term sheet.
Sfotic is a frontier technology consulting firm built around a simple premise: ambitious founders building AI and tech-powered platforms need more than advice — they need a partner who shares the outcome. We work alongside early and growth-stage teams to sharpen how they are structured, what they build, how they go to market, and how they negotiate with capital.
This proposal defines our Growth Advisory service line, structured around four pillars of company-building, delivered through two engagement packages, with commercial models designed to align our incentives with yours.
Getting the operating foundation right — organizational design, decision-making cadence, unit economics, and the internal structure needed to scale without breaking.
Validating what to build and for whom — product-market fit diagnostics, feature prioritization, and pricing or packaging that reflects real commercial value.
Turning product readiness into market traction — positioning, channel strategy, sales motion design, and launch sequencing.
Helping you understand and negotiate investor offers — reading term sheets, evaluating dilution and control terms, and representing your interests at the negotiating table.
Buy-side — we work for you, not the investorGTM Strategy. For founders with a working product who need commercial direction to scale.
All four pillars — Business Structure & Strategy, Product Fit, GTM Strategy, and Investor Evaluation. Ops and strategy, fully covered.
Everything in Package A, plus —Chosen to fit the client's stage, cash position, and appetite for shared upside.
Sfotic's compensation is tied directly to your business performance rather than hours worked. It has two components — a base share on all revenue, and a growth share earned when quarterly targets are met or exceeded. For early-stage clients, the base share's core mandate is helping the company reach breakeven; the growth share rewards momentum beyond that point.
What we explore first
These findings, gathered during the one-month discovery phase, are used to set two numbers jointly with you:
Quarterly growth tiers
Base %, quarterly targets, and whether tier increases apply forward-only or retroactively are confirmed jointly at kickoff and documented in the engagement agreement.
Worked example
A fixed monthly service fee, scoped to the selected package and agreed deliverable cadence. Best suited to clients who prefer predictable cost over shared upside, or who aren't yet ready to share revenue or equity.
The retainer amount is set by the fixed hourly contribution selected each month, inclusive of advisory sessions and working meetings:
Sfotic receives a negotiated equity stake in the client company, in place of or alongside cash compensation, structured as a venture partnership. This takes one of two forms:
Exact equity percentage, vesting schedule, and any cliff are negotiated per engagement and documented in a separate equity agreement — reviewed by legal counsel on both sides before signing.
Worked example
Sign NDA — a mutual non-disclosure agreement is executed before any materials are shared.
Share required documents — company structure and operating documents. OPs+Growth Track engagements additionally require investment details and financial statements for evaluation.
Offer and negotiation — Sfotic makes an offer, and both parties negotiate to reach an engagement deal. Sfotic proposes a tentative roadmap and projected outcome after one year.
One-month discovery phase — baseline assessment across the engaged pillars before the full term begins.
Full 12-month engagement — delivery against the agreed package and commercial model.
Once engaged, the client must share all required documents promptly to enable the work.
Sfotic will keep all client information confidential.
Sfotic may continue to work with similar partners and clients, including in adjacent or comparable markets.
The client's team must commit the resources necessary to achieve outcomes, approved on a quarterly basis.
This is a 12-month agreement and cannot be terminated mid-term.
